AGREEMENT TO OUR LEGAL TERMS

We are MaintainBee, operated by TWLV Inc. ("Company," "we," "us," or "our").

We operate the website https://MaintainBee.com (the "Site"), the mobile application MAINTAINBEE (the "App"), and any other related products and services that refer or link to these Legal Terms (collectively, the "Services").

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and MaintainBee, concerning your access to and use of the Services. By accessing or using the Services, you agree that you have read, understood, and agreed to be bound by these Legal Terms. If you do not agree with these Legal Terms, you must not access or use the Services.

Supplemental terms, policies, or documents that may be posted on the Services from time to time are incorporated into these Legal Terms by reference.

We may change or modify these Legal Terms from time to time. We will indicate the date of the most recent update at the beginning of these Legal Terms. Your continued use of the Services after revised Legal Terms are posted constitutes your acceptance of the revised Legal Terms.

1. OUR SERVICES

MaintainBee is a technology platform designed to help users organize, plan, and manage maintenance for items and connect personal users with businesses that may provide maintenance-related or other services.

The Services may allow users to:

Add and manage items and information about those items;
Create and manage maintenance schedules and tasks manually.
Use AI-powered features to receive maintenance suggestions and related information.
Find businesses and service providers using device native maps (Apple Maps on iOS, Google Maps on Android) and other discovery features.
View business profiles and information provided by businesses.
Communicate with businesses through in-app chat.
Upload images and other content in connection with their use of the Services.
Leave reviews about businesses.
For business users, create and manage a business profile and access certain analytics and account features.

MaintainBee is a technology platform. We are not a maintenance contractor, service provider, agent, broker, marketplace operator, or party to any agreement between users and businesses.

The Services may help users discover and communicate with businesses, but any services, arrangements, appointments, pricing, payments, contracts, purchases, or other transactions between users and businesses are made independently of MaintainBee.

MaintainBee does not arrange, negotiate, process, or guarantee transactions between users and businesses.

You are responsible for evaluating businesses and deciding whether to communicate with, hire, or otherwise interact with them.

2. USER ACCOUNTS

Certain features require you to create an account.

You may register as a personal user or business user, where those account types are made available by MaintainBee.

You agree to provide information that is accurate, current, and complete and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring through your account.

You must not share your account credentials with another person or allow another person to use your account in a manner that violates these Legal Terms.

We may suspend or terminate an account if information provided is false, misleading, materially incomplete, or otherwise violates these Legal Terms or applicable law.

3. BUSINESS ACCOUNTS AND BUSINESS PROFILES

Business users may have access to features that allow them to create and customize a business profile or storefront.

Business profiles may include information such as:

Business name;
Business description;
Business category or services;
Images;
Address or service area;
Telephone number;
License, certification, or credential information, where provided by the business; and
Other information or content permitted by the Services.

Business users are solely responsible for the accuracy, completeness, legality, and currency of the information they provide.

MaintainBee does not independently verify every statement, license, certification, credential, service offering, address, telephone number, image, or other information provided by a business.

The inclusion of a business, license, credential, or other information on MaintainBee does not constitute an endorsement, certification, recommendation, or guarantee by MaintainBee.

Business users must not provide false, misleading, fraudulent, expired, or materially incomplete information about themselves, their business, qualifications, licenses, credentials, services, or experience.

MaintainBee may modify, remove, restrict, or disable business profiles or individual information where we believe it violates these Legal Terms, applicable law, or the proper operation of the Services.

BUSINESS ANALYTICS

Business users may receive analytics or other information regarding activity associated with their business profile, such as profile views, reviews, conversations, or other available engagement metrics.

Analytics are provided for informational purposes only. We do not guarantee that analytics are complete, error-free, or representative of all activity associated with a business.

Analytics may be calculated using information collected through the Services and may be subject to technical limitations, changes in functionality, or changes in how metrics are calculated.

4. INTELLECTUAL PROPERTY RIGHTS

OUR INTELLECTUAL PROPERTY

We are the owner or licensee of all intellectual property rights in the Services, including the source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos contained in or associated with the Services (collectively, "Our Content and Marks").

Our Content and Marks are protected by applicable intellectual property laws and treaties.

Subject to these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes.

Except as expressly permitted by these Legal Terms or applicable law, you may not copy, reproduce, modify, distribute, sell, license, publicly display, reverse engineer, or otherwise exploit any portion of the Services or Our Content and Marks without our prior written permission.

YOUR CONTENT OWNERSHIP

You retain ownership of the intellectual property rights you may have in content that you create, upload, or submit through the Services, including maintenance information you provide, business profile content, images, reviews, messages, and other User Content.

Business users retain ownership of the intellectual property rights they may have in their business names, logos, images, descriptions, and other business-related content they provide.

By submitting content through the Services, you grant us the licenses described in Section 8 (Content License) to operate, maintain, improve, and provide the Services.

You are responsible for ensuring that you have all necessary rights and permissions to submit and use any content you provide through the Services.

AI-GENERATED CONTENT

Some features of the Services use artificial intelligence ("AI") to provide maintenance recommendations, suggestions, tasks, and other information ("AI Outputs").

AI Outputs are provided for use with the Services and may be used for your personal or business maintenance planning, as applicable.

AI Outputs may not always be accurate, complete, current, or suitable for your particular situation. They may also be similar or identical to information provided to other users. MaintainBee does not guarantee that AI Outputs are unique or that you have exclusive rights to them.

You are responsible for reviewing AI Outputs and deciding whether and how to use them.

PROHIBITED USES OF INTELLECTUAL PROPERTY

You may not:

Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Services or any content;
Use Our Content and Marks to create derivative works or competing products;
Reverse engineer, decompile, or disassemble the Services, except as permitted by applicable law;
Use automated tools to scrape, extract, or collect content or data from the Services without our authorization;
Frame or mirror any portion of the Services without our authorization;
Use our trademarks, service marks, logos, or other branding without our written permission; or
Claim ownership of or misrepresent your relationship with MaintainBee.

Any violation of these intellectual property provisions may result in suspension or termination of your right to use the Services, in addition to any other rights or remedies available to us under these Legal Terms or applicable law.

5. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

You have the legal capacity to enter into these Legal Terms;
You will comply with these Legal Terms and all applicable laws and regulations;
All information you provide to MaintainBee is accurate and not misleading;
You have the necessary rights and permissions to provide any content you upload or publish;
You will not use the Services for unlawful or unauthorized purposes; and
Your use of the Services will not infringe the rights of another person or entity.

If you provide information that is untrue, inaccurate, outdated, incomplete, or misleading, we may suspend or terminate your account or restrict your access to the Services.

6. PROHIBITED ACTIVITIES

You may use the Services only for their intended purposes.

You agree not to:

Use the Services for unlawful, fraudulent, abusive, or deceptive purposes;
Impersonate another person, business, or organization;
Provide false, misleading, fraudulent, or deceptive business information;
Misrepresent licenses, certifications, qualifications, credentials, services, or professional experience;
Use the Services to harass, threaten, intimidate, abuse, or harm another person;
Send spam, unsolicited bulk messages, or unauthorized advertising;
Use chat or other communication features to distribute malicious, unlawful, threatening, sexually explicit, or otherwise prohibited material;
Upload content that infringes another person's intellectual property, privacy, publicity, or other rights;
Upload images or other content that you do not have the right to share;
Manipulate, fabricate, or coordinate fraudulent reviews or ratings;
Post reviews that are knowingly false or misleading;
Attempt to manipulate ratings, reviews, analytics, or other engagement metrics;
Scrape, harvest, or systematically collect information about other users or businesses without our written permission;
Use automated systems, bots, scripts, or other tools to access or interact with the Services without our authorization;
Interfere with or disrupt the Services or related systems;
Attempt to gain unauthorized access to accounts, systems, or data;
Introduce viruses, malware, or other harmful code;
Circumvent security or access-control measures;
Reverse engineer or attempt to derive the source code of the Services except where expressly permitted by applicable law;
Use information obtained through the Services to harass, abuse, stalk, or harm another person;
Use the Services to offer or facilitate unlawful goods or services;
Use the Services to request, recommend, or facilitate dangerous, illegal, or harmful activities; or
Use the Services in any manner that violates applicable law or these Legal Terms.

We reserve the right to investigate suspected violations and take appropriate action, including removing content, restricting access, suspending accounts, terminating accounts, or reporting conduct to appropriate authorities where appropriate.

7. USER GENERATED CONTENT

The Services may allow users to create, submit, upload, publish, transmit, or otherwise provide content, including text, photographs, images, reviews, ratings, business information, messages, profile information, and other materials ("User Content").

You are solely responsible for your User Content.

By submitting User Content, you represent and warrant that:

You own the content or have all necessary rights, licenses, permissions, and consents to use and share it;
Your content is accurate to the extent that it presents factual information;
Your content does not unlawfully infringe another person's rights;
Your content does not violate these Legal Terms or applicable law; and
You have obtained any necessary permission from identifiable individuals appearing in images or other content you upload.

You understand that some User Content, such as business profile information, reviews, ratings, and other publicly shared content, may be visible to other users of the Services.

MaintainBee does not guarantee the accuracy, completeness, reliability, or appropriateness of User Content submitted by users.

Reviews and Ratings

Users may be permitted to submit reviews or ratings of businesses.

Reviews should reflect your genuine experience and should be honest, relevant, and based on your actual interaction or experience with the business.

You must not submit fake, misleading, retaliatory, fraudulent, or manipulated reviews, or reviews submitted in exchange for improper incentives.

Businesses may respond to reviews concerning their business, subject to these Legal Terms.

MaintainBee does not guarantee the accuracy of reviews or ratings and does not necessarily endorse opinions expressed in them.

We may remove or restrict reviews or other User Content that we reasonably believe violates these Legal Terms, applicable law, or the integrity of the Services.

8. CONTENT LICENSE

You retain ownership of User Content that you submit to the Services.

By submitting User Content, you grant MaintainBee a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, process, modify as technically necessary, display, distribute, and otherwise use that User Content as reasonably necessary to operate, maintain, improve, and provide the Services.

For example, this license allows us to display a business's profile information to other users, display reviews on a business profile, deliver messages and images to intended chat participants, store uploaded content, and provide relevant features of the Services.

This license does not transfer ownership of your User Content to MaintainBee.

You may delete or modify certain User Content through available features, subject to technical limitations, legal requirements, and our Privacy Policy.

We may retain certain information or content where necessary to comply with legal obligations, resolve disputes, enforce these Legal Terms, prevent abuse, or maintain security and legitimate business records.

9. MOBILE APPLICATION LICENSE

If you access the Services through the App, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the App on devices that you own or control, solely for the intended use of the Services and in accordance with these Legal Terms and applicable app-store requirements.

You may not:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except as permitted by applicable law;
Modify or create derivative works of the App;
Remove proprietary notices;
Use the App to develop or operate an unauthorized competing product or service;
Use automated systems to interact with the App without authorization; or
Use the App in violation of applicable laws or third-party terms.

Apple and Google Play

If you download the App through Apple App Store or Google Play, your use of the App is also subject to the applicable terms and policies of the relevant App Distributor.

The App Distributors are not responsible for providing maintenance or support for the App except as required under their applicable terms or policies.

To the extent permitted by applicable law, the App Distributors are third-party beneficiaries of the provisions of these Legal Terms relating to the App and may enforce those provisions against you.

10. PROVIDER CONNECTIONS AND COMMUNICATIONS

MaintainBee may allow personal users to discover businesses and communicate with them through the Services.

MaintainBee Is Not the Service Provider

MaintainBee does not provide the maintenance, repair, professional, home, business, or other services that may be offered or discussed by businesses using the Services.

We do not employ, supervise, control, or act as an agent for businesses using MaintainBee.

A business's presence on MaintainBee does not mean that MaintainBee has verified, recommended, endorsed, or guaranteed that business or its services.

Your Responsibility to Evaluate Providers

Before engaging with a business, you should independently review the business's profile and information, consider applicable licenses or credentials, ask appropriate questions, and conduct whatever additional research you consider appropriate.

Information provided by businesses may be incomplete, inaccurate, outdated, or subject to change.

You are solely responsible for deciding whether to communicate with, engage, hire, or otherwise interact with a business.

Communications

MaintainBee may provide chat and other communication features that allow users and businesses to communicate directly.

Before initiating a chat with a business, you may be presented with an in-app disclaimer encouraging you to review the business profile, verify credentials, and conduct your own research. By proceeding with the chat, you acknowledge this information and accept that your decision to communicate with the business is your responsibility.

MaintainBee does not guarantee that communications will be uninterrupted, secure, accurate, complete, timely, or appropriate.

You are responsible for the content of communications you send through the Services.

Do not provide sensitive information through chat unless you are comfortable doing so and have considered whether sharing that information is appropriate.

No Transactions Through MaintainBee

MaintainBee does not process payments, enter into contracts, schedule or guarantee services, or otherwise act as a party to an agreement between a user and a business.

Any agreement, arrangement, payment, appointment, price, service, warranty, refund, dispute, or other transaction between a user and a business is solely between those parties.

MaintainBee is not responsible for the performance, quality, safety, legality, pricing, availability, timeliness, or outcome of any service provided or discussed by a business.

Any dispute concerning a service or transaction between a user and a business should be addressed directly between those parties.

11. AI-GENERATED MAINTENANCE INFORMATION

Certain features of MaintainBee use artificial intelligence to provide maintenance-related suggestions, questions, task recommendations, scheduling assistance, or other information.

AI-generated information is provided for general informational and planning purposes only.

AI-generated suggestions may be incomplete, inaccurate, outdated, unsuitable for a particular item or situation, or inappropriate for your circumstances.

MaintainBee does not guarantee that AI-generated information is accurate, complete, reliable, or suitable for any particular purpose.

You are responsible for independently evaluating AI-generated information and determining whether and how to act on it.

For maintenance, repair, safety, electrical, mechanical, structural, automotive, or other potentially hazardous activities, you should consult appropriate product documentation, qualified professionals, or other reliable sources when appropriate.

You are solely responsible for performing or arranging maintenance or repairs safely and appropriately.

12. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to:

Monitor the Services for violations of these Legal Terms;
Remove, restrict, or disable User Content;
Restrict or terminate access to accounts or features;
Investigate suspected fraud, abuse, or violations;
Take appropriate legal action where appropriate;
Remove business profiles or information that violates these Legal Terms or applicable law;
Restrict communications or other interactions where necessary to protect users or the Services; and
Manage the Services in a manner designed to protect our rights, users, systems, and property.

We do not undertake to review every business, profile, message, review, image, or other User Content before it becomes available through the Services.

13. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy, which explains how we collect, use, disclose, and protect information in connection with the Services.

Our Privacy Policy is incorporated into these Legal Terms by reference.

By using the Services, you acknowledge that information may be collected and processed as described in our Privacy Policy.

We do not sell personal information. We do not use your personal information for cross-context behavioural advertising or targeted advertising through the MaintainBee mobile application.

14. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services.

We may suspend or terminate your account or access to all or part of the Services where we reasonably believe that you have violated these Legal Terms, applicable law, or otherwise created a risk to the Services, MaintainBee, or other users.

We may also discontinue accounts or features where necessary for operational, security, legal, or business reasons.

You may stop using the Services at any time.

Upon termination, provisions that by their nature should survive termination (including provisions relating to intellectual property, User Content, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law) will continue to apply.

15. MODIFICATIONS AND INTERRUPTIONS

We may change, modify, suspend, or discontinue any portion of the Services at any time.

We do not guarantee that the Services will always be available or uninterrupted.

The Services may be affected by maintenance, technical problems, third-party services, internet connectivity, device limitations, or other circumstances beyond our reasonable control.

We are not responsible for losses arising solely from your inability to access the Services, except to the extent liability cannot lawfully be excluded or limited.

16. GOVERNING LAW

These Legal Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles.

Subject to the dispute-resolution provisions below and any rights you may have under applicable consumer-protection laws, you consent to the jurisdiction of the courts of Ontario, Canada.

17. DISPUTE RESOLUTION

Informal Resolution

Before initiating formal proceedings concerning a dispute arising from these Legal Terms, you agree to first contact us at info@maintainbee.com and provide a reasonable opportunity to resolve the matter informally.

Arbitration

To the extent permitted by applicable law, disputes that are subject to arbitration will be resolved through binding arbitration administered by the ADR Institute of Canada, Inc. (ADRIC) in accordance with its applicable arbitration rules.

The seat of arbitration will be Ontario, Canada, and the language of the proceedings will be English.

Nothing in this section limits any mandatory rights or remedies that cannot lawfully be waived, including applicable consumer-protection rights.

Exceptions

Nothing in this section prevents either party from seeking appropriate injunctive or equitable relief where permitted by law, including to protect intellectual property, confidential information, privacy, or security rights.

If any portion of this dispute-resolution provision is found to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

18. CORRECTIONS

Information available through the Services may contain errors, inaccuracies, omissions, or outdated information.

We reserve the right to correct or update information at any time.

Business information, reviews, AI-generated recommendations, and other User Content may also change over time and may not always be accurate or current.

19. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE AVAILABLE, ACCURATE, COMPLETE, RELIABLE, SECURE, CURRENT, OR ERROR-FREE.

WE DO NOT WARRANT OR GUARANTEE THE ACCURACY, COMPLETENESS, QUALITY, SAFETY, LEGALITY, OR RELIABILITY OF INFORMATION PROVIDED BY USERS, BUSINESSES, OR OTHER THIRD PARTIES.

WE DO NOT VERIFY OR GUARANTEE THE LICENSES, CREDENTIALS, QUALIFICATIONS, EXPERIENCE, INSURANCE, BUSINESS PRACTICES, OR OTHER INFORMATION PROVIDED BY BUSINESSES.

A BUSINESS'S APPEARANCE ON MAINTAINBEE DOES NOT CONSTITUTE AN ENDORSEMENT, RECOMMENDATION, CERTIFICATION, OR GUARANTEE BY MAINTAINBEE.

WE DO NOT GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY SERVICE, PRODUCT, WORK, ADVICE, REPRESENTATION, OR OTHER ACTIVITY PROVIDED BY A BUSINESS OR OTHER THIRD PARTY.

MAINTAINBEE IS NOT A PARTY TO ANY AGREEMENT OR TRANSACTION BETWEEN USERS AND BUSINESSES AND DOES NOT CONTROL OR GUARANTEE THE OUTCOME OF ANY SUCH RELATIONSHIP.

AI-GENERATED MAINTENANCE INFORMATION IS PROVIDED FOR GENERAL INFORMATIONAL AND PLANNING PURPOSES ONLY. WE DO NOT GUARANTEE THAT AI-GENERATED INFORMATION IS ACCURATE, COMPLETE, APPROPRIATE, OR SUITABLE FOR YOUR PARTICULAR ITEM, CIRCUMSTANCES, OR INTENDED USE.

YOU ARE RESPONSIBLE FOR VERIFYING INFORMATION AND FOR MAKING YOUR OWN DECISIONS REGARDING MAINTENANCE, REPAIRS, SERVICE PROVIDERS, AND OTHER ACTIVITIES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAINTAINBEE, TWLV INC., AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY LOSS, DAMAGE, INJURY, CLAIM, OR COST ARISING FROM:

Your use of or reliance on AI-generated maintenance information;
Maintenance, repair, or other actions taken based on information obtained through the Services;
Your interactions or communications with businesses or other users;
Services, products, advice, representations, or conduct of businesses or other third parties;
Information, reviews, credentials, licenses, or other content provided by users or businesses;
Transactions, contracts, payments, appointments, or other arrangements made outside MaintainBee;
Unauthorized access, security incidents, or technical failures beyond our reasonable control; or
Loss or corruption of User Content or other data, except where liability cannot legally be excluded.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US, IF ANY, FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100.

NOTHING IN THESE LEGAL TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

21. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MaintainBee, TWLV Inc., and their respective directors, officers, employees, contractors, agents, and affiliates from and against claims, liabilities, damages, losses, costs, and reasonable expenses arising from or related to:

Your use of the Services;
Your User Content;
Your violation of these Legal Terms;
Your violation of applicable law;
Your infringement or violation of another person's rights; or
Your interactions, communications, arrangements, or transactions with another user or business.

This provision does not require you to indemnify us to the extent that the claim results from our own negligence, willful misconduct, or other conduct for which liability cannot lawfully be shifted to you.

22. USER DATA

We maintain certain information transmitted to or generated through the Services for purposes including operating, securing, maintaining, and improving the Services.

Our handling of personal information is described in our Privacy Policy.
